Kuwait - Draft, review, revise and negotiate contracts, including employment contracts, confidentiality agreements, agency agreements, licensing agreements, franchise agreements, joint venture agreements and shareholder agreements. Incorporate special purpose vehicles in various jurisdictions. Draft Memorandum and Articles of Association, board resolutions and shareholder resolutions for subsidiary companies to ensure compliance with corporate governance requirements. Provide legal advice to shareholders, managers and employees of companies within the group. Advise on compliance with anti-bribery and anti-corruption legislation of Kuwait, the United States and the United Kingdom. Perform legal due diligence on acquisition targets. Liaise with outside law firms in multiple jurisdictions to obtain local law advice on transactions and litigation. Perform other duties as required.
